Terms and Conditions
Since Dilip Majumder Udyog Pvt. Ltd. operates in three distinct sectors, your Terms and Conditions (T&C) need to cover Construction, Interior Design, and Advertising.
Below are the common clauses generally used in India, organized by service wing.
1. General Terms (Applicable to All Wings)
Payment Terms: Clearly state the billing cycle. For example: “50% advance upon signing, 40% during work-in-progress, and 10% before final handover.”
Late Payment Interest: A standard clause for B2B in India is an interest charge (e.g., 1.5% to 2% per month) for payments delayed beyond 15 days.
Taxes: Explicitly state that GST will be charged extra as per government norms.
Force Majeure: Protection against delays caused by “Acts of God” (floods, strikes, or pandemics).
Jurisdiction: Specify that all disputes are subject to the courts in Kolkata.
2. Sector-Specific Clauses
🏗️ Sthapna (Construction)
Scope of Work: Any work requested outside the signed “Annexure A” will be treated as an additional cost.
Permits: Usually, the client is responsible for obtaining municipal/sanctioned plan approvals unless specified otherwise.
Site Access: The client must provide uninterrupted access to the site and basic amenities (water/electricity) for labor.
🛋️ EVARA (Interior Design)
Design Approvals: Once a 2D/3D design is signed off, any subsequent changes will attract a “Revision Fee.”
Material Variation: A disclaimer that natural materials (like wood grain or marble) may vary slightly from samples.
Procurement: Items will only be ordered after the vendor-specific advance is received.
📢 Janhvi Communication (Advertising)
Intellectual Property (IP): The company owns the creative rights until the final invoice is paid in full.
Third-Party Costs: Costs for media buying (Facebook Ads, Newspaper space, etc.) must be paid in advance.
Approvals: The client is responsible for final proofreading. The company is not liable for errors found after the client’s “Go-Ahead.”
3. Termination
Either party may terminate this agreement by giving 30 days’ written notice. In the event of termination, the Client shall pay for all work completed up to the date of termination, including non-refundable material costs already incurred
